share-based incentive plan:          The trades relate to an offer of Naspers N ordinary share
                                     options made and accepted on 12 March 2008 in the MIH
                                     Services FZ LLC Share Trust (the Trust). The options
                                     vested in three equal tranches. The first tranche, 100 000
                                     share options, vested on 12 March 2011, the second
                                     tranche, 100 000 share options vested on 12 March 2012
                                     and the final tranche, 100 000 share options, vested on 12
                                     March 2013. In terms of the rules of the Trust the exercise
                                     of options and delivery of shares acquired may not be taken
                                     later than the tenth anniversary of the offer date.

                                     On 7 February 2018 a total of 185 000 Naspers N ordinary
                                     shares were sold by the Pacak Family Trust and 300 000
                                     Naspers N ordinary shares will be delivered to Mr Pacak
                                     upon payment of the amount of R41 028 950,84 (being the
                                     listed market value on the date of the offer) from the
                                     proceeds of the sale of the 185 000 Naspers N ordinary
                                     shares (distributed to Mr Pacak by the Pacak Family Trust),
                                     to settle the amount due to the MIH Services FZ LLC Share
                                     Trust.
Nature of transaction:               Sale of 185 000 Naspers N ordinary shares from the Pacak
                                     Family Trust and delivery of 300 000 vested Naspers N
                                     ordinary shares held in the MIH Services FZ LLC Share
                                     Trust by Mr Pacak.

Clearance:                           Clearance has been received in terms of paragraph 3.66 of
                                     the JSE Listings Requirements
