FULFILLMENT OF CONDITIONS PRECEDENT AND CLOSING OF THE PROPOSED ARRANGEMENT


Shareholders of Oceana (“Shareholders”) are referred to the announcement
released on the Stock Exchange News Service (“SENS”) of the JSE Limited on
Friday, 13 April 2018 in relation to the requisite majority of Shareholders
voting in favour of the proposed arrangement between Daybrook Fisheries
Inc. and Makimry Patronus LLC, a U.S. company majority owned and controlled
by Mr Francois Kuttel (“Proposed Arrangement”).

Oceana is pleased to announce that all the outstanding conditions precedent
to the Proposed Arrangement have been fulfilled to the parties’ satisfaction 
and accordingly the Proposed Arrangement has closed with an effective date 
of Friday, 13 April 2018.
