In respect of Resolution 20 (Authority to allot shares) the authority sought by the Company is aligned with the Investment Association’s share capital management
guidelines and market practice for FTSE listed companies. However, Anglo American is mindful of the concerns expressed by a number of its South African
shareholders which has led to Resolution 20 not receiving the same high level of support compared to previous years. The dialogue which the Company has had with its
South African shareholders leading up to the AGM has helped clarify their concerns. We will continue to listen to our shareholders and keep under review the
parameters of this authority going forward.
This announcement will be available for viewing on the Company’s website, www.angloamerican.com, as soon as practicable.
In accordance with Listing Rule 9.6.2, a copy of all resolutions passed, other than resolutions concerning ordinary business, have been submitted to the UK Listing
Authority via the National Storage Mechanism and are available for inspection at www.morningstar.co.uk/uk/nsm.
