NOTIFICATION OF PROPOSED CHANGE IN AUDITOR

Shareholders of Brait are advised that the Brait Audit Committee has decided to put the external audit out to
tender as the cost of the audit has not been benchmarked externally for a number of years. Deloitte has declined
to participate in the tender and has resigned as auditor with immediate effect. Deloitte has confirmed in writing
that there are no circumstances to be brought to the attention of the members or creditors of the Company in
connection with it ceasing to hold office.

Following the conclusion of the tender process, the Board will announce the appointment of the new external
auditor by no later than 30 September 2018 for the current financial year ended 31 March 2019. Shareholders will
be given an opportunity to consider and approve the appointment of this auditor at an Extraordinary General
Meeting to be scheduled thereafter.
