Following a detailed due diligence investigation of this opportunity and lengthy negotiations, the parties were not able to agree on terms which would, in the view of the Company, be in the long-term interest of PSG Konsult’s various stakeholders. PSG Konsult’s focus remains on organic growth, although it will consider acquisitions that meet its investment criteria, which require, inter alia, acceptable pricing, a compelling strategic rationale, clearly definable synergies and ease of integration. As PSG Konsult will not be proceeding with the acquisition, caution is, accordingly, no longer required to be exercised by shareholders when dealing in their securities.
