NOTIFICATION IN TERMS OF SECTION 122(3) OF THE COMPANIES ACT AND
PARAGRAPH 3.83(b) OF THE JSE LIMITED LISTINGS REQUIREMENTS
In compliance with section 122(3)(b) of the Companies Act, 2008 (Act 71 of 2008), as
amended (“Companies Act”) and paragraph 3.83(b) of the JSE Limited Listings
Requirements, shareholders are advised that Value has received notification in terms of
section 122(1) of the Companies Act whereby the total 54,26% indirect non beneficial
interest held by various trusts of Mr. S.D. Gottschalk, the company’s CEO, have been
reorganized. This shareholding has been transferred into two separate legal entities,
Lougot Property Investments (Pty) Ltd and 471 Church Street (Pty) Ltd. The result of the
reorganization is the nature and extent of Mr. S.D. Gottschalk’s shareholding in the
company remains unchanged.
There has been no change of control of Value Group Limited.
As required in terms of section 122(3)(b) of the Companies Act, Value will file the
required notice with the Takeover Regulation Panel on 21 December 2018.
