CHANGES TO THE BOARD OF DIRECTORS AND APPOINTMENT OF COMPANY SECRETARY



In compliance with section 3.59 and 3.84 (f) of the JSE Limited Listings Requirements, shareholders
are advised that:

    1. As announced on SENS on 25 June 2018, Mr. Harry Todd was appointed Acting Chief
       Financial Officer (“CFO”) of the Group whilst the Board commenced a process to recruit a
       CFO.
    2. The Board is pleased to announce that they have approved the appointment of Mr. Todd as
       CFO and executive director of the Group, effective 01 October 2018. The appointment
       follows an extensive internal and external executive search.
    3. The Nominations committee as well as the Audit and Risk committee has considered Mr.
       Todd’s 25 years of experience as a finance executive across an array of industries and
       supports his appointment. The Board is confident that his appointment will add significant
       value to the financial governance and strategic initiatives of Novus Holdings.
    4. Furthermore, the Board has identified Ms. Keshree Alwar, currently Group Financial
       Manager, as CFO designate and appoints Ms. Alwar as an alternate director to Mr. Todd.
       Ms. Alwar, who has been with the Group since 2016, is a qualified Chartered Accountant
       and previously worked at PWC as a Senior Audit Manager.
    5. Effective 01 October 2018, Kilgetty Statutory Services (Pty) Ltd (“Kilgetty”) has been
       replaced by Ms. Melonie Brink as Novus Holdings Group Company Secretary. Ms. Brink has
       been the Assistant Group Company Secretary for Novus Holdings on a contractual basis. She
       a qualified governance and ethics professional with 20 years extensive company secretarial
       and corporate governance consulting experience in a broad range of JSE listed companies
       and State Owned Entities.
    6. The Board would like to thank Kilgetty for their services and looks forward to the continued
       contribution from Mr. Todd, Ms Alwar and Ms Brink to Novus Holdings.
