 RESULTS OF GENERAL MEETING
 Shareholders are referred to the circular dated 7 November 2018 which outlined the disposal by South Ocean
 Holdings of 100% of the issued share capital in and claims against Radiant Group Proprietary Limited
 (“Radiant”) and Icembu Services Proprietary Limited, wholly owned subsidiaries of South Ocean Holdings and
 the disposal of the properties from which Radiant operates (“the Radiant Disposal Group”) (these transactions
 together referred to as “the Transaction”).

 Shareholders are advised that at the general meeting held today, 29 November 2018 (“GM”), the resolutions
 set out below with regard to the Transaction were duly approved by the requisite majority of Shareholders
 present and voting.

 Details of the voting are as follows:
 -     Total number of South Ocean Holdings shares in issue at the date of the GM: 203 276 794
 -     Total number of South Ocean Holdings that were present/represented at the GM:
       155 147 649, being 76% of the total number of ordinary shares that could have been voted on at the
       GM.
