FULFILMENT OF OUTSTANDING CONDITIONS PRECEDENT AND COMPLETION OF TRANSACTION

1.    INTRODUCTION

Shareholders are referred to the announcement released on the Stock Exchange News Service of the
JSE Limited on Monday, 19 November 2018 advising shareholders that an equity partnership
transaction had been concluded in which the South African National Taxi Council (“SANTACO”) would
acquire a 25% stake in SA Taxi Finance Holdings Proprietary Limited (“SA Taxi”), a major subsidiary of
Transaction Capital, for R1.701 billion (the “Transaction”).

2.    FULFILMENT OF CONDITIONS PRECEDENT

Transaction Capital is pleased to advise Shareholders that all conditions precedent to the Transaction
have been successfully fulfilled. Accordingly, the Transaction is now unconditional.
