Announcement regarding Exxaro’s 26% ownership interest in Tronox Sands LLP

Further to the announcement by Exxaro on 27 November 2018 regarding its stake in Tronox Limited
(“Tronox”) and the proposed redomiciliation of Tronox to the UK, shareholders are referred to a press
release by Tronox on 15 February 2019. Exxaro is pleased to advise that Tronox have confirmed
completion of the first stage of its redomiciliation, whereby it has acquired Exxaro’s 26% ownership
interest in Tronox Sands LLP (a UK limited liability partnership) for consideration of approximately
ZAR2.06billion (or approximately US$148million) in cash representing Exxaro’s indirect share of the loan
accounts in Tronox’s South African subsidiaries (“Tronox SA”) at 15 February 2019. The acquisition is
being funded through Tronox SA.
