Changes to the Board York Timber Holdings Limited (Incorporated in the Republic of South Africa) (Registration number 1916/004890/06) ISIN: ZAE000133450 Share code: YRK (“York” or the “Company”) CHANGES TO THE BOARD In compliance with paragraph 3.59 of the JSE Limited Listings Requirements, York shareholders (“Shareholders”) are advised that Mrs Hetisani Mbanyele-Ntshinga, Mr Maxwell Nyanteh and Mr Andries Brink have been appointed as independent non-executive directors of York’s board of directors (“Board”), with effect from 14 February 2019. Furthermore, Messrs Nyanteh and Brink have been appointed as a member and chairman of the audit committee, respectively. Mrs Mbanyele-Ntshinga has extensive experience in the forestry and agricultural sector in that she, inter alia, was responsible for growing Yarona Farms from a subsistence farming company to an award-winning maize producer in the Free State. She completed a B-Tech degree in Human resources at Technicon Witwatersrand, acquired a Post Graduate Diploma in Business Administration and is currently writing her dissertation to complete her Master of Business Administration (MBA) at Wits Business School. Mr Nyanteh is a qualified Chartered Accountant (South Africa) with over 15 years of experience in financial services, which includes, inter alia, current employment at Identity Capital Partners as a part of a team of professionals whose activities include carrying out strategic investments and advisory work. His previous employment was at Standard Bank, in the capacity of Dealmaker – Leveraged Finance where he was responsible for deal sourcing, financial structuring, negotiation and execution of leveraged financed type transactions in the Business Banking area. Mr Brink is a qualified Chartered Accountant (South Africa) with an extensive 30 years of experience in auditing domestic and multinational companies until his retirement in 2018. He currently serves as non-executive director at a number of international companies in South Africa. He has served on the Africa Governance Board of PricewaterhouseCoopers (PwC) for four years and, until recently, he acted as a leader of the Africa Private Company Services (PCS) and of the PwC Global PCS leadership team.
