MIKE BOSMAN APPOINTED AS INDEPENDENT NON-EXECUTIVE CHAIRMAN OF SPUR CORPORATION

Following the retirement of Allen Ambor as executive chairman of the group,
effective 28 February 2019 (as advised on SENS on 23 February 2018), the
board of directors of Spur Corporation (“board”) is pleased to announce the
appointment of Mike Bosman (age 58) as independent non-executive chairman,
with effect from 1 March 2019. Mike was appointed as a director in November
2018.


The board congratulates Mike on his new role and looks forward to benefiting
from his extensive professional and board experience across several sectors,
and his proven leadership ability.


The board pays tribute to Allen Ambor for his sterling contribution to the group
over the past 51 years. Allen founded Spur when he opened the first restaurant
in Newlands, Cape Town, in 1967 and has overseen the growth of the business
into a multi-brand franchisor with over 600 restaurants in South Africa and
internationally. The board wishes Allen a happy and fulfilled retirement.


Reconstituted Audit Committee
Following the appointment of Mike Bosman as the chairman of the board, and in
compliance with the principles of the King Code of Corporate Governance 2016,
Mike has resigned as a member of the Audit Committee. The board has appointed
independent non-executive director, Muzi Kuzwayo, as a member of the Audit
Committee, with effect from 1 March 2019.
Brief background on Mike Bosman
Mike is an independent non-executive director of AVI Limited and chairman of
their Audit and Risk Committee. He is a non-executive director of MTN South
Africa and a member of their Audit and Risk Committee. He currently serves as
chairman of the largest independent wine distribution company in South Africa,
Vinimark Holdings, and is the chairman of Vinimark Trading and Twee Jonge
Gezellen. Mike previously served as the CEO and later the chairman of One
Digital Media which became a major network provider in the South African digital
media retail market.   Mike has an honours degree in commerce, a master’s
degree in law and is a chartered accountant.
