Finalisation of general repurchase of shares Metair Investments Limited (Incorporated in the Republic of South Africa) (Registration number 1948/031013/06) ISIN: ZAE000090692 Share code: MTA (“Metair” or the “Company”) FINALISATION OF GENERAL REPURCHASE OF SHARES Metair shareholders (“Shareholders”) are referred to the announcements published on SENS on 22 October 2018, 10 December 2018 and 4 April 2019 pertaining to the Company’s repurchase of Metair ordinary shares (“Shares”) pursuant to and in accordance with the general authority granted by Shareholders at the Company’s annual general meeting held on 2 May 2018 (“General Authority”). Shareholders are hereby advised that the Company has completed the general repurchase of Shares in terms of the General Authority and the authority granted by Shareholders at the Company’s annual general meeting held on 2 May 2019 and has in aggregate acquired 7 892 604 Shares (“Repurchased Shares”), being 3.97% of the Company’s issued share capital at a total cost of R150 million. The Repurchased Shares have not been cancelled and will be held in treasury until the next annual general meeting, where it will be proposed that 5 681 854 of the Repurchased Shares be cancelled, following Shareholder approval of a specific repurchase of such securities. 480 148 of the Repurchased Shares have already been used for the Metair share scheme and the remaining 1 730 602 Repurchased Shares will be used for purposes of settling future awards pursuant to Metair’s share scheme.
