FINALISATION ANNOUNCEMENT IN RESPECT OF SPECIAL DIVIDEND, THE VOLUNTARY WINDING-UP,
THE DELISTING AND RELATED MATTERS

Delta EMD Shareholders are referred to the SENS announcement of the results of the General Meeting of
Shareholders held on Monday, 10 June 2019, where all the resolutions required to be adopted in order to
approve the Special Dividend, the Voluntary Winding-up, the Delisting and related matters were
unanimously approved by the Shareholders present and voting at the General Meeting.

Capitalised terms used in this announcement that are not otherwise defined, bear the meanings ascribed
to them in the Circular posted to shareholders on Thursday, 18 April 2019, containing full details of the
above matters.

Shareholders are advised that the Takeover Regulation Panel has issued a Compliance certificate in terms
of section 121(b)(i) of the Companies Act, 2008 (Act No. 71 of 2008). No Shareholders have exercised their
Appraisal Rights in terms of section 164 of the Companies Act.

SPECIAL DIVIDEND
The Board has declared a Special Dividend of R0.70 per share (gross), being the sum of R34 415 887
payable out of retained earnings.

The Special Dividend is a dividend as defined in the Income Tax Act and as such will be subject to dividend
withholding tax at a rate of 20%, save for where Delta EMD Shareholders are exempt from the payment
of dividend withholding tax. The payment of dividend withholding tax will result in a net dividend amount
of R0.56 per share (there being 49 165 553 Delta EMD Shares in issue. Delta EMD’s tax number is
9375057719). Delta EMD has obtained the relevant South African Reserve Bank approvals in respect of
the Special Dividend, the Voluntary Winding-up and the Delisting.
