Disposal of Afrikelp, Efekto and Marltons businesses within the Ascendis Health Biosciences division:
Transaction unconditional
Shareholders are referred to the announcement published by the Company on 2 May 2019 relating to
the restructure and the subsequent disposal of certain entities and businesses within Ascendis
Health’s Biosciences division to a consortium comprising RMB Ventures Seven Proprietary Limited,
Nedbank Private Equity and certain members of management of the Ascendis Health Biosciences
division (“the Transaction”).
The Company’s board of directors is pleased to advise that all conditions precedent, which included
approval from the Competition board, to the Transaction have been fulfilled and accordingly the
Transaction has become unconditional.
The effective date of the Transaction was 31 March 2019.
The two remaining businesses in the Ascendis Health Biosciences division, being Avima Proprietary
Limited and Klub M5 Proprietary Limited, are now being considered for divestment. Shareholders will
be advised accordingly of further details as appropriate.
