(“the Rights”). Each of the Rights require approval by the Company’s shareholders as they constitute category 1 transactions in terms of the JSE Listings Requirements due to the fact that they afford third parties the right to require the Company to dispose of its interest in Mettle Solar Investments Proprietary Limited (“MSI”) at a price which, at present, has not been agreed or determined. Accordingly, the Company is required to issue a circular to shareholders containing, inter alia, information relating to the Rights and convening a general meeting of shareholders (“Circular”).
