ANNOUNCEMENT REGARDING DR THANDI NDLOVU

It is with great sadness that the Company and its board notes the untimely death of its
beloved and highly respected independent non-executive director, Dr Thandi Ndlovu, who
was tragically killed in a motor vehicle accident near Rustenburg on Saturday, 24 August 2019.

“Dr Thandi” as she was affectionately known had served on the Company’s board for almost
19 years - since February 2001. She was a valued member of the Company’s Social and Ethics
Committee as well as the Nominations Committee. She was a confidant, advisor and mentor
to the whole board, and provided invaluable guidance and unwavering support for and
understanding of the Group’s DNA and everything it stands for.

During the darkest days of apartheid, Dr Thandi committed herself to the liberation struggle
and served as commander in the ANC military wing uMkhonto weSizwe. She maintained her
support for the movement for democratic change throughout.

She was a qualified medical doctor and in her early years provided medical care to many
thousands of disadvantaged people by establishing a clinic in Orange Farm outside
Johannesburg, often being the only medical doctor available to assist patients.

Dr Thandi was the founder, CEO and Executive Chair of the Motheo Construction Group of
Companies, one of South Africa’s first leading black female owned construction companies.
She was the recipient of numerous awards over the years, including being the winner of the
2017 Woman of Substance Award from the African Women Chartered Accountants
Association, the winner of the 2013 Entrepreneur of the Year Award from the Business
Women Association of South Africa, and the winner in the Lisa Blane category in the 2018 SA
Women in Property Awards, contributing much to the construction of quality rural housing
and the upgrading of informal settlements across South Africa.

She was well regarded in the construction industry, and was a member of the Council of the
South African Forum of Civil Engineering Contractors (‘SAFCEC’) and chair of the Construction
Sector Transformation Committee of the Black Business Council in the Built Environment
(‘BBCBE’). This month she was featured in Forbes Africa in an article titled “The Pioneers”
which paid tribute to businesswomen who had pioneered success in male dominated South
African industries.


Dr Thandi believed in leading by example, and was determined to use her knowledge, stature
and business acumen to champion change and opportunity for women across South Africa.
She had a sharp intellect, a warm heart, a vibrant spirit, and always made time to share her
knowledge and wisdom. She was a truly impactful and selfless leader, an inspiration to all who
had the privilege of knowing her. Her story and journey are full of wonderful life lessons about
courage, resilience, commitment, innovation and harnessing the potential of people.

She founded The Dr Thandi Ndlovu Children's Foundation on the idea of supporting orphaned
and vulnerable children through both their schooling and tertiary education. The Foundation
holistically supports children, by covering not only education fees, but also accommodation
and meals, in the same way as a parent would. She was an amazing woman who over the
recent years climbed Mount Kilimanjaro twice and Mount Kenya, and had reached the base
camps of Mount Everest and Mount Annapurna to raise funds for the Foundation and other
charities.


Her versatility and extensive experience enabled her to provide substantive input to the
Company’s board deliberations across a number of disciplines, including transformation,
supplier development and customer relations.

The Company’s and the board’s heartfelt condolences go out to the Ndlovu family. She will
be sorely missed by all who knew her.
