SALIENT DATES AND TIMES PERTAINING TO THE OFFER TO TRANS HEX SHAREHOLDERS
TO REPURCHASE THEIR SHARES AND THE SUBSEQUENT PROPOSED DELISTING
Further to the announcement released on SENS on 30 September 2019 (and using the terms defined
therein unless otherwise stated), shareholders are advised of the following salient dates and times
relating to the Transaction and the Delisting:

Record date for shareholders to be recorded in the register in order to Friday, 20 September
be entitled to receive the Circular
Posting of the Circular to shareholders and Notice convening General Monday, 30 September
Meeting released on SENS
Notice convening General Meeting published in the press Tuesday, 1 October
General Offer opening date at 12:00 on Tuesday, 1 October
Last day to trade (“LDT”) to be eligible to attend and vote at the General Tuesday, 15 October
Meeting
Record date to be eligible to attend and vote at the General Meeting Friday, 18 October
Last day to lodge forms of proxy in respect of the General Meeting by Friday, 25 October

Last date for shareholders to give written notice of their objections to Tuesday, 29 October

If the Scheme is approved by Shareholders at the General Meeting with sufficient voting rights

Last day for shareholders who voted against the Scheme Resolution Tuesday, 5 November
to require the Company to seek court approval for the Scheme in terms
of section 115(3)(a) of the Companies Act (if at least 15% of the total
votes of Shareholders at the General Meeting were exercised against
the Scheme)
Last day on which objecting shareholders who voted against the Tuesday, 12 November
Scheme Resolution can make application to court in terms of section
115(3)(b) of the Companies Act (if applicable), on
Last date for Company to send notice of adoption of the Scheme Tuesday, 12 November
Resolution in terms of section 164(4) of the Companies Act to
shareholders who provided written notice of objection of and
subsequently voted against the Scheme Resolution
The following dates assume that no court approval or review of the Scheme is required and
will be confirmed in the finalisation announcement if the Scheme becomes unconditional:

Finalisation announcement expected to be published in the press Wednesday, 20 November
Expected Scheme LDT to be recorded in the register on the Scheme Tuesday, 26 November
