CHANGE IN NATURE OF ASSOCIATE’S HOLDINGS OF THE COMPANY’S SECURITIES


Shareholders are further advised that, on 15 November 2019, The John McCormick Family Trust (“JMFT”) agreed to
dispose of 12 705 236 Exemplar ordinary shares to McCormick Property Development Proprietary Limited (“MPD”)
at a price of R10.20582 per share for a total transaction value of R129 667 382.00.

JMFT is an associate of John McCormick and Jason McCormick as John McCormick is a trustee and beneficiary of
JMFT and Jason McCormick is a beneficiary of JMFT. MPD is an associate of John McCormick and Jason
McCormick as they are both directors of MPD and MPD is a wholly-owned subsidiary of JMFT. Accordingly,
following the transactions, there is no change in the indirect beneficial interests of either John McCormick or Jason
McCormick in the Exemplar ordinary shares.

The transaction was conducted off-market and clearance to deal was obtained.
