Appointment of acting Chief Financial Officer, Resignation of a
director and withdrawal of proposed annual general meeting
resolution

With reference to the Company’s SENS announcement dated 29
January 2020 and following the appointment of the current Chief
Financial Officer, Noel Doyle to the Chief Executive Officer
role, with effect from 1 February 2020, the Board of Directors of
Tiger Brands (“the Board”) today announced that Ms Pamela
Padayachee has been appointed as acting Chief Financial Officer
with effect from 1 February 2020, until a permanent appointment
is made. This process is expected to take at least four to six
months. The Audit Committee is satisfied with the expertise and
experience of Ms Padayachee to act in this role.

Pamela, a qualified chartered accountant, is currently Portfolio
Financial Director for Groceries and Consumer Brands, which
includes the Company’s Grocery, Snacks, Treats & Beverages, VAMP,
LAF, Baby and Home & Personal Care businesses. She joined the
Company in 2016 as Finance Director for the Culinary fruit and
Vegetables business. Her vast financial experience was gathered
over the last 22 years with a select group of companies over a
diverse range of industries.

Shareholders are further advised that Mr Monwabisi Fandeso will
step down as independent non-executive director of the Company,
with effect from the close of business on 28 February 2020. This
follows   his  recent  acceptance   of  other   commitments.  He
accordingly also steps down as a member of the Nomination &
Governance and Risk & Sustainability Committees of Tiger Brands.
Monwabisi has served on the Board of Tiger Brands since 1 July
2019.
In view of the timing of his resignation, Monwabisi will no
longer be available for election as a director as stated in the
proposed resolution number 1.1, set out in the notice of annual
general meeting of the Company, scheduled for 18 February 2020.
This resolution is effectively being withdrawn.

The Board extends its gratitude to Mr Fandeso for his
contribution and support to the Company and wishes him well in
his future endeavours. The Board expressed its support for Ms
Padayachee in her new acting role.
