Appointment of Ms Sharon Wapnick The Company is pleased to announce the appointment of Ms Sharon Wapnick to its Board as an independent non-executive director with effect from 12 March 2020. Ms Wapnick obtained her BA degree and LLB (cum laude) from the University of Witwatersrand, and was admitted as an attorney in 1988. Thereafter she was a partner and ultimately the deputy chairman of Moss Morris until September 2004. Ms Wapnick is one of the founding partners and a senior partner of the law firm, Tugendhaft Wapnick Banchetti & Partners (TWB) which was formed in October 2004, where she specializes in commercial, civil and criminal litigation, as well as in arbitrations. She is the non-executive chairman of Octodec Investments Limited, a Real Estate Investment Trust Company listed on the Johannesburg Stock Exchange. The Board welcomes Ms Wapnick and looks forward to her contribution. Resignation of Mr Paul Miller Mr Paul Miller has resigned as a (non-independent) non-executive director of the Company and as a member of the Remuneration Committee with effect from 12 March 2020. The Board wishes to thank Mr Miller for his contribution to the Company to date. Mr Miller has been appointed as an alternate director to Mr Roberto Rossi, also with effect from 12 March 2020. Following the above changes, the Board will comprise five executive directors and seven non-executive directors, six of whom are independent. Appointment of Mr Roberto Rossi as member of the Remuneration and Social and Ethics Committees In light of Mr Miller’s resignation, Mr Rossi will be appointed to the Remuneration Committee with effect from 12 March 2020. The Remuneration Committee will thus continue to comprise three non- executive directors, two of whom are independent. In addition, Mr Roberto Rossi has been appointed as a member of the Social and Ethics Committee with effect from 1 February 2020. The Social and Ethics Committee will now comprise four members, including three non-executive directors (two of which are independent) and one executive director.
