RESIGNATION OF AUDITORS
In accordance with the JSE Listings Requirements, a listed company is required to advise
shareholders once it receives notice from its external auditors of their resignation. Pembury hereby
advises shareholders that the Company’s external auditors, Nexia SAB&T have resigned as auditors
of Pembury with immediate effect.
Nexia SAB&T’s reasons for resigning relate to the resignation of key finance staff and recent
concerns raised around compliance and corporate governance practices which has increased
their risk of continuing as external auditors of Pembury and its subsidiaries.
As previously announced, the Board is trying to address the various concerns in a constructive
manner and has also recently engaged with the JSE in this regard.
The Board of Pembury will commence the process of appointing new auditors and will advise
shareholders once the new auditors have been appointed."
