In accordance with the Listings Requirements of the JSE Limited, Adcock Ingram’s shareholders are hereby
advised that Mr Lindsay Ralphs has tendered his resignation as a non-executive director, as Chairman of the
board of directors ("Board"), as Chairman of the Acquisitions and Nominations Committees and as a member
of the HR and Remuneration Committee, with immediate effect.
Mr Ralphs was appointed as a non-executive director on 24 November 2016 and was later appointed as
Chairman of the Board, on 27 August 2019. The Board is highly appreciative of Mr Ralphs’ guidance,
accessibility, experience and business acumen which have been invaluable to the Company and the Board
during his tenure. The Company is grateful to Mr Ralphs for his exceptional leadership of the Board and wishes
him well in his future endeavours.
Ms Nompumelelo "Mpumi" Madisa has been appointed non-executive Chairperson of the Board, with
immediate effect. She currently also serves as a member of the Acquisitions Committee and is an invitee to
the Nominations Committee and to the HR and Remuneration Committee.
The Nominations Committee will review the composition of the various Board committees and will make the
necessary recommendations to the Board in due course.

Ms Madisa is the CEO of The Bidvest Group Limited and Director of numerous Bidvest subsidiaries. She joined
the Adcock Ingram Board as a non-executive director on 23 November 2017.
The Board congratulates Ms Madisa on her appointment and wishes her well in her new role.
