APPOINTMENT OF NON-EXECUTIVE DIRECTOR

In compliance with the JSE Listings Requirements, shareholders are
advised that Mr Phuthuma Nhleko will join the JSE board as an
independent non-executive director, effective 1 July 2021.

Phuthuma Nhleko has extensive experience, both in South Africa and
globally, in telecommunications, organisational strategy
development, operations, M&A, corporate finance and executive
leadership.

Phuthuma is the former chief executive and executive chairman of
MTN Group Limited (MTN Group), having led the MTN Group from 2002
until 2019. He previously worked as a corporate finance executive
at Standard Corporate & Merchant Bank. He has also served as a
non-executive director on the boards of several public listed
companies, including Nedbank Limited, Anglo American Plc and BP
Plc. Phuthuma currently leads the Phembani Group (Pty) Ltd, which
he founded in 2012, and chairs the Phembani Remgro Infrastructure
Fund which has interests in petroleum, energy, cement and the
resources industry.

Phuthuma holds a BSc in Civil Engineering and an MBA.

Phuthuma will serve as a member of the JSE’s Group Remuneration
Committee, Group Nominations Committee and Group Deal Committee,
as from 1 July 2021. He has also accepted the Board’s invitation
to serve as chairman-designate and will assume the role of JSE
board chairman, with effect from the annual general meeting to be
held in May 2022.
