Notice is hereby given, in terms of section 45(5)(a) of the Companies Act 71 of 2008 (the Act) that the board of FirstRand has adopted a resolution to provide financial assistance by issuing a performance guarantee in favour of Aldermore Bank Plc and its subsidiaries. Pursuant to sections 45(2) and 46 of the Act FirstRand has issued a guarantee of £2.5 billion to the Bank of England (BoE) to enable Aldermore Bank plc’s continued access to the BoE’s term funding scheme (part of the sterling monetary framework). This guarantee is routinely required by the BoE. In addition, in accordance with section 45(3)(b) of the Act, the board of FirstRand has satisfied itself that after providing the guarantee, the group will meet the solvency and liquidity test set out in section 4(1) of the Act. Shareholders are hereby notified for purposes of section 45(5)(a) of the Act, that the financial assistance exceeds one-tenth of 1% of the group’s net worth. No further action is required from shareholders.
