NOTIFICATION IN TERMS OF SECTION 45(5) OF THE COMPANIES ACT OF 2008


Notice is hereby given that, in terms of the provisions of section 45(5)(b) of the Companies
Act 71 of 2008 (“the Companies Act”) and pursuant to the special resolution passed at the
annual general meeting of the company held on 5 December 2019 authorising the board of
directors (“the board”) to provide direct and indirect financial assistance to subsidiaries and
to associated companies of the company, the board has adopted resolutions during the financial
year ended 31 July 2021 to provide financial assistance (“financial assistance”) to related and
inter-related companies of EOH as contemplated in section 45(2) of the Companies Act.

The resolutions adopted by the board relate to financial assistance which includes guarantees
and inter-company loans given by EOH in respect of the obligations of current subsidiaries and
associates of EOH.
