CHANGE TO THE BOARD: APPOINTMENT OF INDEPENDENT NON-EXECUTIVE
DIRECTOR

In accordance with paragraph 3.59 of the JSE Limited Listings Requirements the board of
directors of Shoprite Holdings (the “Board”) is pleased to announce the appointment of
Graham Dempster as an independent non-executive director to the board of Shoprite Holdings
with effect from 15 November 2021.

Graham is a Chartered Accountant (SA) and holds a Bachelor of Commerce. His more than
35 years of banking and financial services industry experience includes positions of Managing
Director: Nedbank Corporate, Group Chief Operating Officer and Executive Director of
Nedbank Group Limited.

Graham is currently Chairman of Motus Holdings; Lead Independent Director of Sun
International, Lead Independent Director of Imperial Holdings Limited and Chairman (until
February 2022) of Long 4 Life.

The Shoprite Holdings board welcomes Graham and looks forward to his valued contribution
to the Group.
