CHANGES TO THE GROUP BOARDS AND COMMITTEES

In compliance with paragraph 6.71 of the JSE Limited (“JSE”) Listings
Requirements and paragraph 6.42 of the JSE Debt and Specialist Securities
Listings Requirements, shareholders and noteholders are advised of the
following:

APPOINTMENT OF AN INDEPENDENT NON-EXECUTIVE DIRECTOR

The Group is pleased to announce the appointment of Mr Edwin George Splinter
as an independent non-executive director of both Momentum Group Limited and
MML (the “Group Boards”), as well as a member of the Group’s Risk, Capital
and Compliance Committee, with effect from 15 September 2026. He will remain
a member of the Group’s Actuarial Committee on which he has served as a non-
director member since March 2025.

Mr Splinter is an experienced actuary and governance professional with more
than three decades of leadership experience in the South African financial
services industry. He previously served as an independent actuarial
consultant, providing statutory actuarial services across Africa and has
contributed to the actuarial profession through his service on the Actuarial
Society of South Africa's Disciplinary Committee.

He is a Fellow of the Actuarial Society of South Africa and holds a Bachelor
of Science degree in Mathematics and Statistics from the University of Cape
Town. He qualified as an Actuary in 2002.

Mr Splinter’s appointment will enhance the skill set of the Group Boards and
was made in accordance with the Group’s Nomination and Evaluation of Directors
Policy.

APPOINTMENT OF A LEAD INDEPENDENT DIRECTOR

The Group Boards are pleased to announce the appointment of Ms Linda de Beer
as Lead Independent Director, effective 26 November 2026.

Ms de Beer has made a significant contribution to the development of corporate
governance, financial reporting and regulatory frameworks at both a local
and international level. Her previous roles include serving as a member of
the King Committee, Chair of the JSE Financial Reporting Investigation Panel,
Chair of the Public Interest Oversight Board, a member of the Board of
Trustees of the International Valuation Standards Council, and a member of
the Public Company Accounting Oversight Board's Investor Advisory Group.
She is a Chartered Director and a CA(SA), with an MCom (Tax).

Ms de Beer has served on the Momentum Group Boards since 2019 and has over
fifteen years of listed company board experience. She will continue to serve
on the Group’s board committees to which she has been appointed.

The Group Boards are confident that Ms de Beer's extensive governance,
financial reporting and board experience will further enhance the
independence and effectiveness of the Group Boards and support the Group's
commitment to the highest standards of corporate governance.

The appointment was approved by the Group Boards following consideration and
recommendation by the Group’s Nomination Committee and is aligned to the
Group’s Nomination and Evaluation of Directors Policy.

BOARD COMMITTEE     MEMBERSHIP   CHANGES   FOR   DR   JACOBUS   JOHANNES   (KOBUS)
SIEBERHAGEN

Shareholders and noteholders are further advised that Dr Jacobus Johannes
(Kobus) Sieberhagen retires as a member of the Group’s Fair Practices
Committee (“FPC”), effective 15 September 2026.

This follows the restructuring of the FPC, in line with the Group’s ongoing
review and alignment of its governance structures to its strategic
objectives.

Dr Sieberhagen continues to serve on the Group Boards.

The Group Boards confirm that the prescribed fit-and-proper assessments have
been conducted in view of Mr Splinter and Ms de Beer’s appointments and that
they are satisfied with the outcome of the assessments which included an
investigation into their backgrounds, including independent verifications of
qualifications. Both Mr Splinter and Ms de Beer have also affirmed their
integrity information and there were no adverse findings in their
declarations.
