RENEWAL OF CAUTIONARY ANNOUNCEMENT
Shareholders are referred to the announcement released on the Stock Exchange News
Service (“SENS”) on 19 November 2019 in which they were advised that, following a review
of the Company’s investment portfolio, the board of directors of RMH (“Board”) had resolved
to restructure the Company’s portfolio of assets and liabilities (“Restructuring”).
In terms of the Restructuring, it is proposed that RMH will distribute its shareholding in
FirstRand Limited (“FirstRand”) to RMH shareholders (“FirstRand Distribution”). Per a
separate announcement released on SENS on 19 November 2019, Remgro Limited
(“Remgro”) has also announced its intention to distribute, in full or in part, its exposure to
both RMH and FirstRand, to Remgro shareholders (“Remgro Distribution”). In addition, RMH
is assessing the best manner to give effect to an orderly realisation of RMH’s property assets
(“Property Process”).
Shareholders are advised that the Board continues to assess the optimal mechanism and
steps required to give effect to the FirstRand Distribution and the Property Process and to
cooperate with the board of directors of Remgro to ensure that both the Restructuring and
the Remgro Distribution are implemented in a coordinated and effective manner.
Accordingly, RMH shareholders are advised to continue to exercise caution when dealing in
the Company’s securities, until a detailed announcement is made.
