RECEIPT OF COMPLIANCE CERTIFICATE IN RELATION TO THE SCHEME OF ARRANGEMENT


1.     INTRODUCTION

1.1.     Unless otherwise defined herein, capitalised words and terms used in this announcement shall
         bear the same meanings ascribed thereto in the Circular (defined below).

1.2.     Shareholders are referred to the circular issued to Shareholders on Friday, 24 October 2025
         ("Circular") and the finalisation announcement released on SENS today, 8 December 2025
         ("Finalisation Announcement").

2.     TRP COMPLIANCE CERTIFICATE

2.1.     In terms of the Finalisation Announcement, Shareholders were advised that while the Scheme
         had become unconditional, it was not capable of implementation unless and until the TRP had
         issued the requisite compliance certificate in respect of the Scheme.

2.2.     The Board is pleased to inform Shareholders that the Company has today, 8 December 2025,
         received the requisite compliance certificate from the TRP in respect of the Scheme and
         accordingly the Scheme and Clean Out Distribution will be implemented in accordance with
         the salient dates and times as set out below.

3.     SALIENT DATES AND TIMES
