ACQUISITION OF MDANTSANE CITY SHOPPING CENTRE
Shareholders are referred to the announcement released on SENS on 23 July 2019 relating to the proposed
acquisition by Vukile of the rental enterprise comprising Mdantsane City Shopping Centre ("Mdantsane
City") from Rebosis Property Fund Limited ("Rebosis") for a purchase consideration of R511 372 000.00
(the "Mdantsane acquisition").
Shareholders are hereby advised that on 6 September 2019 Vukile and Rebosis concluded the formal
agreement to effect the Mdantsane acquisition.
The rationale, terms and other details relating to the Mdantsane acquisition as set out in the 23 July 2019
announcement remains materially unchanged.
The Mdantsane acquisition is conditional only on the receipt by Rebosis of its shareholder approvals required
for Rebosis to implement the transaction with Vukile (which condition is required to be fulfilled by
31 October 2019).
The Mdantsane acquisition is not categorisable from a Vukile perspective and no shareholder approval is required
by Vukile for its implementation.
