APPOINTMENT OF JOINT EXTERNAL AUDITOR

Shareholders and noteholders are advised that, following a formal audit firm tender process overseen
by the Audit Committee, and pursuant to a recommendation by the Audit Committee endorsed by
the Board, PricewaterhouseCoopers Inc. (“PWC”) has been selected as the preferred successor to
Deloitte & Touche (“Deloitte”) as joint external auditor of the Old Mutual Limited Group.

The proposed appointment forms part of the Group's external audit rotation process and follows the
completion of Deloitte's current term as joint auditor. Subject to the receipt of all required regulatory
and shareholder approvals, PWC will succeed Deloitte as joint auditor with effect from the audit of the
financial year ending 31 December 2028.

A formal transition process will commence on 1 January 2027 during which PwC will, to facilitate an
orderly transition, observe the annual audit cycle undertaken by the incumbent joint external
auditors. Ernst & Young Inc. will continue in its role as joint auditor of the Group.

The proposed appointment remains subject to approval by the Prudential Authority and any other
approvals required by law or regulation.

The Audit Committee is satisfied that a robust and appropriate selection process was followed in
terms of JSE Limited (“JSE”) Listings Requirements 5.7(h)(iii) and 6.36 and in terms of the JSE Debt
and Specialist Securities Listings Requirements 6.11 and 6.12 and that PWC possesses the requisite
independence, expertise, capacity and industry experience to undertake the external audit of a group
of Old Mutual's size, complexity and geographic footprint and that their engagement letter will include
the matters in terms of JSE Listings Requirement 6.37.

Further details regarding the proposed appointment and the individual auditor will be included for
shareholder approval in the next notice of annual general meeting, details of which will be
communicated to shareholders in due course in 2027.

The Board would like to extend its appreciation to Deloitte for their long-standing service to the
Group.
