            REAPPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTORS

            To retain valuable institutional knowledge, skills and experience, and to ensure continuity on the Board,
            the Bank hereby advises Noteholders that the following eight independent non-executive directors have
            been re-appointed to the Board for a further term of three (3) years, effective from 2 October 2026 to 1
            October 2029:

                •    Mr. Bongani Nqwababa;
                •    Dr. Petrus Matji;
                •    Ms. Disebo Moephuli;
                •    Mr. Joel Netshitenzhe;
                •    Dr. Chantal Naidoo;
                •    Prof. Edgar Pieterse;
                •    Mr. Jonathan Muthige; and
                •    Mr. Barry Hore.

            INDEPENDENT NON-EXECUTIVE DIRECTOR WHOSE TERM OF OFFICE HAS EXPIRED

            By effluxion of time, the Bank hereby advises Noteholders that the term of office of Ms. Pinkie Nqeto has
            come to an end with effect from 2 October 2026. Consequent to the expiry of her term, Ms. Nqeto will cease
            to serve as a member and Chairperson of the Human Resources and Remuneration Committee, and as a
            member of the Infrastructure Delivery and Knowledge Management Committee, Nomination Committee,
            and Transformative Initiatives Committee.

            The Board of Directors expresses its sincere appreciation for Ms. Nqeto's valuable contribution to the Bank
            during her tenure and wishes her well in her future endeavours.

            The Board remains properly constituted in terms of the Development Bank of Southern Africa Act (13 of
            1997, as amended) and can continue to perform and exercise its fiduciary obligations effectively.
