DIRECTORATE CHANGE

Shareholders are advised that Mr Clifford Raphiri (“Clifford”) has been appointed as an independent non-
executive director of Dis-Chem effective 21 September 2026. He has also been appointed to the Dis-Chem
Social and Ethics and the Remuneration and Nomination sub-committees.

Clifford holds a BSc in Engineering from the University of Cape Town and an MBA from Brunel University. He
is also a member of the Institute of Directors South Africa. Clifford is a senior executive with extensive
strategic and operational experience, gained through serving in both executive and Non-Executive Director
roles at listed companies.

The Board of Directors of Dis-Chem (“the Board”) confirms that in compliance with paragraph 6.73 of the JSE
Listings Requirements, a fit and proper assessment has been conducted and that the Board is satisfied with
the outcome of the assessment. In accordance with paragraph 6.74 of the JSE Listings Requirements,
shareholders are advised that there are no positive statements in respect of the integrity information
contained in the director’s declaration other than that Clifford was a director of Murray and Roberts Holdings
when the operating company, Murray and Roberts Limited was placed into business rescue in November
2024. He resigned from Murray and Roberts Holdings on the 10th of January 2025.


The Board of directors welcomes Clifford to the Dis-Chem Board and looks forward to working with him in
the future.
