CONTINUATION OF THE TERM OF OFFICE OF THE ESKOM BOARD CHAIRPERSON 

Noteholders are referred to the media statement dated 25 September 2026 issued by the Department of Electricity and Energy of the Republic of South Africa (the Shareholder Statement).

In compliance with paragraph 6.42 of the JSE Debt and Specialist Securities Listings Requirements, noteholders are advised that the Minister of Electricity and Energy, Dr Kgosientsho Ramokgopa, announced in the Shareholder Statement the continuation of Dr Mteto Nyati as Chairperson of the Board of Directors (the Board) of Eskom with immediate effect.

The continuation of Dr Nyati's term of Office as Chairperson is intended to provide leadership continuity as Eskom progresses from the immediate work of restoring generation performance to the longer-term objective of securing the utility's position in South Africa's evolving electricity market. 

The continuation of Dr Nyati's term of Office as Chairperson is in accordance with the Company's Memorandum of Incorporation and applicable legislative requirements.

Eskom welcomes the continuation of Dr Nyati's service as Chairperson and looks forward to his continued leadership in supporting the Company's strategic objectives.
