NAMIBIAN HIGH COURT ATTACHES 200,000,000 RISKOWITZ VALUE FUND
SHARES HELD IN TRUSTCO WITH A RULE NISI TO CONFIRM JURISDICTION
Shareholders and interested parties are referred to the Company’s previous
announcements concerning the disputes and proceedings involving Riskowitz Value Fund
LP ("RVF") and Riskowitz Capital Management LLC and also the SENS announcements
dated 19 February 2026 and 25 September 2026 under the SENS announcement headings
“Update on unwinding of LSH Transaction” and “Demand to call a shareholders’ meeting,
respectively.
The Company hereby advises shareholders, interested parties and the market that, on 25
September 2026, the High Court of Namibia, Main Division, Windhoek, granted an order
against Riskowitz Value Fund LP in the matter of Trustco Group Holdings Limited v
Riskowitz Value Fund LP under case number HC-MD-CIV-MOT-EXP-2026/00492. The
Court issued a rule nisi returnable on 6 November 2026 at 10:00 and, pending the return
day, granted immediate interim relief authorising the attachment of certain property of RVF.

Of relevance to Trustco shareholders and other interested parties is the Court’s order
against RVF in respect of 200,000,000 ordinary shares in Trustco (TTO.SJ) and 1,135
unlisted shares in Legal Shield Holdings Limited.
The Court Order directs that the attachment be effected by the Deputy Sheriff by, inter alia,
giving written notice of the attachment to all interested parties and serving the order upon
Trustco and the administrator of the relevant registers, with Trustco to give notice of the
attachment to its South African transfer secretaries for noting against the Johannesburg
branch register.
The attachment operates with immediate effect as an interim order pending the return date.
NEXT STEPS
Trustco will continue to take all steps necessary to give effect to the Court Order and to
protect the Company’s interests. Shareholders will be advised of any further material
developments in accordance with the JSE Listings Requirements and the applicable
requirements of the Namibian Stock Exchange.
