The Management Board of Globe Trade Center S.A. ("Company") hereby informs that on 22 April
2025, it received a written notice from GTC Dutch Holdings B.V. with its registered office in
Amsterdam, the Netherlands (the "Entitled Shareholder"), according to which the Entitled
Shareholder revokes Mr. Tamás Sándor and Mr. Csaba Cservenák from the positions of members
of the Supervisory Board of the Company, effective as of 22 April 2025. The dismissal was made
pursuant to article 9 point 4 of the Articles of Association of the Company.
Additionally, Entitled Shareholder, appoints Mr. Ferenc Daróczi as member of the Supervisory
Board of the Company, effective as of the date of receipt of 22 April 2025. Appointment was made
pursuant to article 9 point 1 a)-c) of the Articles of Association of the Company.
Pursuant to the deposit certificate attached to the notice, GTC Dutch Holdings B.V. holds
337,637,591 shares in the Company, which constitute 58.80% of the Company's share capital,
and therefore is entitled to appoint members of the Supervisory Board of the Company pursuant
to the Articles of Association of the Company.
According to the statements Mr. Ferenc Daróczi is not entered in the register of insolvent debtors
maintained in compliance with the Act on the National Court Register dated 20 August 1997, do
not perform any activities outside of the Company's business which could be considered
competitive with respect thereto, do not participate in any competitive business either as a partner
in a civil partnership or any other type of partnership, and is not members of the authorities of any
competing company or any other competing entity. Moreover, Mr. Ferenc Daróczi fulfils the
independence criteria as specified in Annex No. II to Commission Recommendation 2005/162/EC
of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and
on the committees of the (supervisory) board.
Mr. Ferenc Daróczi has more than three decades of experience in construction, investment and
real estate development. He began his career with almost six years of construction work in
Germany before returning to Hungary to develop the ECE ÁRKÁD shopping centers in Budapest,
Pécs und Gy?r, as team leader. In 2008, he was appointed Managing Director of HOCHTIEF
Development Kft, whose name is associated with the development of the Capital Square office
building in Budapest. Since 2013, he has been managing a private investment management and
real estate development company, which has continuously prepared and implemented factories,
monument projects, logistics projects, office buildings and residential projects in Hungary,
realizing hundreds of thousands of square meters of investments so far. He also acts as the
Hungarian managing director of three large international real estate companies, specifically
highlighted Allianz Eiffel Square Kft of Allianz Group and Szervita Square Kft of Union Group,
which are emblematic office buildings on the Budapest office market.
Ferenc Daróczi graduated in architecture from the Ybl Miklós Technical University in Budapest.
He has been a member of the RICS (Royal Institution of Chartered Surveyors) since 2012.
