CHANGES TO THE BOARD OF DIRECTORS
In accordance with paragraph 3.59 of the JSE Limited Listings Requirements, the board of
directors of the Company (“the Board”) advises of the following changes to the Board:
1. Mr Daniel van der Merwe (“Danie”) tendered his resignation from the Board with effect
from 28 May 2019.
2. Mr Theodore de Klerk (“Theo”) has been appointed as a non-executive director, with
effect from 29 May 2019, to replace Danie.
Theo is the Operations Director at Steinhoff International Holdings NV. (“Steinhoff”).
He completed his articles with Ernst & Young and worked for four years as a corporate
tax consultant. He joined Murray & Roberts as financial director of its marine
construction operation. He spent five years with Gensec Investment Bank as part of
its corporate finance advisory unit, focusing on mergers & acquisitions, capital raisings
and related structuring functions. In 2003, he joined Steinhoff and in 2008 he was
appointed Chief Executive Officer of the group’s Southern African building materials
division, a position he held until 2015. In addition to his role as Operations Director at
Steinhoff, he holds various directorships within Steinhoff and is also a director of IEP
Group.
3. Louis du Preez, current non-executive board member of Pepkor, will replace Danie
as a member of Pepkor’s Nominations Committee and Human Resources and
Remuneration Committee.
4. The Pepkor Board would like to thank Danie for his invaluable contribution made to
the Pepkor group.
