CHANGE TO THE BOARD AND BOARD COMMITTEES
Shareholders and noteholders are advised that, with effect from 4 August 2026, Nadya Bhettay has been
appointed as an independent non-executive director of Redefine and as a member of Redefine's Audit,
Remuneration, and Risk, Compliance and Technology Committees.
Nadya (BBusSc (Finance), PGDip (Accounting), CA(SA)), is an experienced executive with a strong track
record across finance, strategy, mergers and acquisitions, and portfolio management, particularly in the
telecommunications and technology sectors. Nadya previously served as Finance Director for Vodafone
Ireland, Chief Strategy and Business Development Officer for the Vodacom Group and Chief Operations
Officer for Vodacom Business: Ventures and Strategic Partnerships.
Nadya is currently an independent non-executive director of Capitec Limited and Capitec Bank Limited and
serves as a member of the audit committee, risk and capital management committee, social, ethics and
sustainability committee, and directors' affairs committee. Nadya also serves as a non-executive director of
E Squared Investments and as a non-executive director of Metro Fibre Networx Proprietary Limited, Octotel
Proprietary Limited and Endeavour South Africa.
The Board confirms that the appointment has been made in accordance with Redefine's policy dealing with
the nomination of directors and in line with the board succession plan. A fit and proper assessment has been
conducted for Nadya Bhettay, with the Board being satisfied with the outcome of this assessment. The Board
further confirms that there are no positive statements to report in respect of the integrity information contained
in the director's declaration.
The Board welcomes Nadya and looks forward to her contribution to Redefine.
