ISSUE OF SHARES UNDER THE GENERAL AUTHORITY TO ISSUE SHARES FOR CASH


Shareholders are advised that 7 376 433 Renergen ordinary shares (the "Additional
Renergen Shares") have been allotted, issued and listed today on both the AltX Board of the
JSE and the Australian Securities Exchange, pursuant to the private placement undertaken
by Renergen on 17 January 2025 (the "Capital Raise"). The Additional Renergen Shares,
which represent 5% of Renergen's shares in issue, were issued under the general authority
to issue shares for cash at a price of ZAR 5.33 in keeping with the terms of the resolution and
a discount of 10% to the 30-day weighted average traded price.

The proceeds of the Capital Raise will be used as part of a multi-step plan to shore up the
required capital to complete Phase 1C, in turn to fund the expansion of the Virginia Gas Project
as well as to bolster general working capital.

The Additional Renergen Shares rank pari passu with existing listed Renergen ordinary
shares.

Following the issue of the Additional Renergen Shares, the total issued and listed share capital
of Renergen has increased to 155 047 410 ordinary shares.
