CHANGES TO THE AUDIT AND RISK COMMITTEE AND BOARD

In accordance with the JSE Listings Requirements, the Board of Directors of the Company ("the Board") wishes
to advise shareholders of the following changes to the Audit and Risk Committee ("Audit Committee") and Board.

In terms of the Company's Audit and Risk Committee Charter and Section 94(5)(6) of the Companies Act, 
Ms Carmen Mpelwane, an Independent Non-Executive Director and existing audit member, has been appointed as
the Chairperson of the Audit Committee, with effect from 15 October 2025.

The appointment of Carmen Mpelwane follows the Board's assessment of her extensive experience and financial
literacy. She is a Chartered Accountant (SA) and member of SAICA, is a CFA Charter holder with the CFA
Institute and holds a membership with the Institute of Directors of South Africa. The Board is confident for her
to serve her role as the Chairperson of the Audit Committee and to execute her duties. The appointment of a
qualified and experienced chairperson to the Audit Committee underscores the Board's commitment to strong
corporate governance and ensuring the integrity of the financial information and robust risk oversight.

Ms Nontobeko Sanelisiwe Ndhlazi has been appointed as an Independent Non-Executive Director to the Board
and member of the Audit Committee, with effect from 15 October 2025.

She has extensive experience as a Chief Financial Officer with nineteen years of leadership experience. Having
served on several boards of portfolio companies of Wiphold, and several other entities, with Audit and Risk
Committee experience. She holds a Bachelor of Commerce (BCom) in Accounting from the University of Natal,
complimented by a Postgraduate Diploma in Accounting. In addition, she is a member and serves as a Non-
executive Director on the board of the Institute of Directors of South Africa.

The Board welcomes Ms Carmen Mpelwane and Ms Nontobeko Sanelisiwe Ndhlazi to their respective roles and
looks forward to their contributions.
