CHANGES TO THE BOARD COMMITTEES OF AFRICAN BANK LIMITED ("ABL") AND AFRICAN BANK HOLDINGS LIMITED ("ABHL")

In accordance with paragraph 6.42(c) of the JSE Limited Debt and Specialist Securities Listings Requirements, 
noteholders are hereby advised by the Board of Directors of African Bank Holdings Limited and African Bank Limited 
("Board") that that Mr. Spyridon (Spiro) Georgopoulos has been appointed as the chairman of the Risk and Capital 
Management Committee, member of the Directors' Affairs and Governance Committee, and member of the Remuneration 
Committee with effect from 06 February 2026. Spiro takes over the chairmanship of the Risk and Capital Management 
Committee from Mr. Peter Temple, who will remain as a member of the ABL and ABHL Boards given his expertise and wealth of
institutional knowledge.

These changes to the Board Committees are as result of an ongoing review process, by the Directors Affairs and Governance 
Committee, with regard to the composition of the Board and Board Committees as well as the need for succession planning and 
aims to align the Company with Corporate Governance best practices.

Spiro who was appointed to the ABL and ABHL Boards in August 2020, holds a MSc in Industrial Administration, a MBA from 
Carnegie Mellon University, a B Comm Hons from the University of the Witwatersrand and has in excess of three decades of 
experience in leading organizations within competitive markets. He spent more than 10 years consulting across multiple 
industries, developing and implementing strategies with teams in several countries and has served as the chief executive 
officer and executive director of Bank of Athens Limited, Grobank Limited South Africa and First Capital Bank Malawi PLC. 
He also served in various capacities at Standard Bank South Africa during his career.
