BOARD COMMITTEE CHANGES

As previously announced on the Stock Exchange News Service on 3 December
2025, Mr Derek Lawrance stepped down as an independent non-executive director
at the conclusion of the AGM on 4 June 2026, having served on the Bell
Equipment Board for 10 years. Accordingly, he also ceased to be a member and
Chairperson of the Audit Committee, a member and Chairperson of the
Remuneration Committee and a member of the Risk and Sustainability Committee.

In terms of paragraph 6.71(c)of the Listings Requirements of the JSE Limited,
shareholders are advised that with immediate effect, Mr Harish Ramsumer, an
independent non-executive director and Audit Committee member, will serve as
Chairperson of the Audit Committee, as well as a member of the Remuneration
Committee. Mr Rajendran Naidu, an independent non-executive director and a
member of the Remuneration Committee will serve as the Chairperson of the
Remuneration Committee and Mr Shane Fitzpatrick, an independent non-
executive director, will serve as a member of the Risk and Sustainability
Committee.

With effect from 11 June 2026, the Board committees shall be constituted as
follows:

  1. Audit Committee:
     Harish Ramsumer (Chairman),    Rajendran   Naidu,   Mamokete   Ramathe   and
     Ushadevi Maharaj.

  2. Risk & Sustainability Committee:
     Hennie van der Merwe (Chairman), Ushadevi Maharaj, Shane Fitzpatrick,
     Gary Bell, Ashley Bell and Karen van Haght.

  3. Nominations Committee:
     Hennie van der Merwe (Chairman), Rajendran Naidu, Mamokete Ramathe and
     Gary Bell.

  4. Social, Ethics and Transformation Committee:
     Mamokete Ramathe (Chairman), Rajendran Naidu, Gary Bell, Ashley Bell
     and Karen van Haght.

  5. Remuneration Committee:
     Rajendran Naidu (Chairman), Gary Bell and Harish Ramsumer.
