CHANGES TO THE BOARD AND BOARD COMMITTEES
Shareholders and noteholders are advised of the following changes to the board and its committees in
compliance with paragraph 3.59 of the JSE Listings Requirements and paragraph 6.42 of the JSE Debt and
Specialist Securities Listings Requirements:
Changes to the board
Attacq is pleased to announce the appointment of Ms Lindiwe Sebesho as an independent non-executive
director of the Company and a member of the Company's Remuneration and Nominations Committee
("Remco"), with effect from 1 January 2026. Ms Sebesho is the Managing Director of Remchannel, a leading
South African consultancy specialising in remuneration, benefits insights and advisory services. She is a
certified Master Reward Specialist and holds professional membership with the South African Reward
Association where she has previously served two terms as president. Ms Sebesho has over 25 years of
experience developing remuneration, incentive, performance, and talent management strategies and has
served in multiple leadership positions within both private and public sector organisations. Her qualifications
include a Master of Business Administration, a Post Graduate Diploma in Labour Law, and Bachelor of
Commerce degree.
As announced on SENS on 4 November 2025, Attacq's current chief financial officer, Mr Raj Nana, has
resigned effective 31 January 2026. Given the timing of the resignation over the December holiday period,
Attacq will not have the opportunity to comprehensively evaluate potential external and internal
candidates for the role before the end of January 2026. In order to ensure minimal disruption to the business
over this period and allow Attacq sufficient time to conclude the recruitment process, Attacq will appoint
an interim chief financial officer, Mr Peter de Villiers, with effect from 1 February 2026. Peter joined Attacq in
March 2013 and served as a member of its executive committee since Attacq's listing in October 2013. He
is a qualified CA(SA) and CFA charterholder.
The Company expects to be in position to announce a permanent chief financial officer by 30 April 2026.
Changes to board committees
Following the election of Ms Ipeleng Mkhari as the new Attacq chairperson, as published on SENS on
11 September 2025, and the retirement of Pierre Tredoux on 14 November 2025, Attacq wishes to inform
shareholders and noteholders of the following changes to the board subcommittees:
- Ms Mkhari is appointed to the Investment Committee ("IC") and will step down from the Transformation,
Social and Ethics Committee ("TSE");
- Mr Johan van der Merwe will serve as the chair of IC; and
- Ms Fikile De Buck is appointed to the TSE and will step down from the Audit and Risk Committee ("ARC").
Following these changes, the board and its subcommittees will be constituted as follows with effect from
1 January 2026, unless indicated otherwise:
