CHANGE IN INDIRECT SHAREHOLDING OF DIRECTORS
In compliance with paragraphs 3.63 to 3.64 of the Listings Requirements of
JSE Limited ("Listings Requirements"), shareholders are advised that
Bambelela Capital Proprietary Limited ("Bambelela") which owns 49.20% of
Vunani Limited has finalised a share buy back from a minority shareholder
with effective date of 10 December 2025. The Executive Directors Mr Ethan
Dube, Mr Mark Anderson and Mr Butana Khoza are indirect shareholders of
Bambelela, through their respective family trusts. As a result of the
transaction, the directors' indirect shareholding in Vunani has increased.
This is a corporate action one level above the company and was not a direct
dealing in the shares of Vunani Limited. Clearance to acquire shares was not
required.
