Postponement of the 2026 Annual General Meeting
Shareholders are referred to the notice of annual general meeting of Balwin, in terms of which
the 2026 annual general meeting of the Company ("the AGM") was scheduled to be held on
Thursday, 20 August 2026 at 09:00 through electronic participation only.
Shareholders are advised that the board of directors of Balwin ("the Board") has resolved to
postpone the AGM and, therefore, the AGM will not be held on Thursday, 20 August 2026, as
advised in the notice of AGM.
The reason for the postponement is in consideration of the timeline of the proposed transaction
with K2025746588 (South Africa) Proprietary Limited ("Bidco") ("the Proposed Transaction"), as
detailed in the combined circular distributed to Balwin shareholders on Friday, 17 July 2026
("Scheme Circular"), following the Firm Intention Announcement published on SENS on
Wednesday, 20 May 2026, regarding an offer by Bidco to acquire all of the issued Balwin shares
(other than the Excluded Shares as defined in the Scheme Circular) by way of a scheme of
arrangement in terms of section 114 of the Companies Act, 71 of 2008 ("the Scheme"). If
implemented, the Proposed Transaction will result in the delisting of Balwin from the Main Board
of the JSE Limited ("the JSE") and the A2X Proprietary Limited ("the A2X").
The general meeting of Balwin shareholders to consider and, if deemed fit, approve the
resolutions required to implement the Scheme is scheduled to be held on Monday, 17 August
2026 at 10:00 through electronic participation only. Subject to the fulfilment or waiver, as
applicable, of the Scheme conditions, the Scheme implementation date is expected to be
Monday, 19 October 2026 and the termination of the listing of Balwin shares on the JSE and
A2X is expected to take place at commencement of trade on or about Tuesday, 20 October
2026.
Accordingly, shareholders will be notified in due course of the new date of the AGM, together
with the revised salient dates and times.
