CHANGE TO THE BOARD SOCIAL, ETHICS AND TRANSFORMATION COMMITTEE AND ASSETS
AND LIABILITIES SUB-COMMITTEE OF AFRICAN BANK LIMITED ("ABL") AND AFRICAN BANK
HOLDINGS LIMITED ("ABHL")
In accordance with paragraph 6.42(c) of the JSE Limited Debt and Specialist Securities Listings Requirements, noteholders are advised that Professor Hemmanth Singh has been
appointed as a member of the Social, Ethics and Transformation Committee ("SETCom"), and Mr Dhevendren Dharmalingam has been appointed as a member of the Assets and
Liabilities Sub-Committee ("ALCO"), of the Boards of Directors of African Bank Holdings Limited and African Bank Limited ("Board"). Both appointments became effective on 20 July
2026, being the date on which approval was received from the Prudential Authority.
These appointments follow the ongoing review by the Directors' Affairs and Governance Committee of the composition of the Board, its Board Committees and Sub-Committees,
including succession planning considerations and it is intended to support alignment with strategic priorities and sound Corporate Governance practices.
Professor Singh holds a Bachelor of Engineering degree from the University of then Witwatersrand, a postgraduate qualification in Industrial Engineering, and an MBA from Wits
Business School, which he completed with Distinction. He serves as Adjunct Faculty at Duke University, Adjunct Professor at the University of Cape Town Graduate School of Business,
and Professor in Practice at the Johannesburg Business School.
Professor Singh brings extensive board, executive, and transformation leadership experience gained across banking, telecommunications, technology, and consulting sectors
over more than three decades. He has served on numerous boards and board committees and currently holds Non-Executive Director positions at several listed and private
organisations. His experience in leading large-scale digital transformation, financial inclusion, mobile financial services, and insurance initiatives across Africa has provided
significant exposure to stakeholder engagement, responsible business practices, and sustainable growth. Combined with his strong governance credentials, academic
achievements, and thought leadership roles, Professor Singh is well positioned to contribute effectively to the oversight of social, ethical, and transformation matters as a member of
the Social, Ethics and Transformation Committee.
Mr Dharmalingam holds a Bachelor of Accountancy and a Postgraduate Diploma in Accounting from the University of Durban-Westville. He is a Chartered Accountant (South Africa) and a
member of the South African Institute of Chartered Accountants (SAICA).
Mr Dharmalingam's experience is particularly relevant to ALCO, having served as Group CFO of listed and major financial services groups, where he was responsible for treasury
management, capital management, funding, liquidity, investment oversight, regulatory compliance and balance sheet optimisation. He also managed foreign exchange and interest
rate exposures, chaired credit, investment and deal committees, engaged with rating agencies and banking institutions, and oversaw significant funding and capital transactions.
In addition, his longstanding service as a Non-Executive Director and Chair of the Audit Committee of African Bank has provided him with significant banking governance, risk
management, and regulatory oversight experience, further enhancing the Committee's ability to oversee asset and liability management matters.
