CHANGE TO THE LEAD INDEPENDENT DIRECTOR

In accordance with paragraph 6.71 of the JSE Listings Requirements, shareholders are
advised that the Board of Directors of Raubex (the "Board") has resolved to appoint Nosisa
Fubu as the Lead Independent Director of the Company with immediate effect.

Nosisa Fubu is an Independent Non-Executive Director and has been a member of the Board
since 6 December 2022. The Board considered the expertise and independence of Nosisa
Fubu and fully supports her election as Lead Independent Director. The Board confirms that a
fit and proper assessment, as contemplated in the JSE Listings Requirements, was
undertaken in respect of Nosisa Fubu and that the Board is satisfied with the outcome
thereof.

She succeeds Setshego Bogatsu who will remain on the Board, but due to her tenure on the
Board since 2017 and as Lead Independent Director since 6 December 2022, will step down
from the role with immediate effect. The Board extends its appreciation to Setshego Bogatsu
for her valuable contribution during her tenure as Lead Independent Director.

This appointment follows a formal review by the Remuneration and Nomination Committee to
ensure long-term Board stability, orderly rotation, and optimal corporate governance
alignment with the principles of the King V Report on Corporate Governance™ for South
Africa. The Board Chairman, Rudolf Fourie, is not classified as independent in terms of
governance best practice criteria due to him being the former CEO of the Group, accordingly
the appointment of a Lead Independent Director is required.

The Board recognises that the function of the Lead Independent Director is to provide
leadership and advice to the Board when the Chairman has a conflict of interest without
detracting from or undermining the authority of the Chairman.

The Board looks forward to Nosisa Fubu's contribution in this capacity.
