NOTIFICATION OF THE AMENDED AND RESTATED APPLICABLE PRICING SUPPLEMENTS

Noteholders are referred to the announcement released on SENS on 17 December 2025 ("Notice of
Meeting"), in which Barloworld convened a meeting of Noteholders for purposes of considering and,
if deemed fit, passing the Extraordinary Resolutions set out below relating to amendments to the
Applicable Pricing Supplements of the following Notes issued under the Issuer's ZAR15,000,000,000
Domestic Medium Term Note Programme:

BAW38, BAW39, BAW41, BAW42, BAW44, BAW45, BAW46, BAW47 and BAWGL2

Extraordinary Resolution No. 1 requested consent from Noteholders for the amendment and
restatement of the terms and conditions of the Applicable Pricing Supplements.

Extraordinary Resolution No 2 requested that the Issuer be authorised to enter into any
documentation or to take necessary steps to give effect to the consents specified in Extraordinary
Resolution No. 1 above.

Noteholders are further referred to the SENS announcement released on 23 January 2026, in which
Noteholders were advised of the voting results of the Noteholder Meeting held on 22 January 2026,
as well as the subsequent SENS announcement released on 3 February 2026 in respect of the
updated voting results following the application of the revised voting methodology proposed by the
JSE Limited (JSE). As recorded in the SENS announcements, Extraordinary Resolutions No. 1 and No. 2
were passed by the requisite majorities.

Noteholders are hereby further advised that formal approval for the amendment and restatement
of the terms and conditions of the Applicable Pricing Supplements has been granted by the JSE.
