CHANGE TO THE BOARD OF DIRECTORS
In compliance with the Listings Requirements of the JSE Limited, the board of directors of THL
("the Board") and the Business Rescue Practitioners ("BRP's") hereby notify THL
shareholders of the following:
The Board and the BRP's are pleased to announce the appointment of Mr Gavin Dalgleish
as an executive director of THL, with effect from 11 May 2026.
In accordance with section 140 of the Companies Act 71 of 2008, Mr Dalgleish was appointed
by the BRPs to the Company's management team (not as an executive director) to assist in
executing the business rescue plan since 1 June 2025. He brings extensive leadership
experience to the role with a strong track record in the sugar industry. Mr Dalgleish has deep
expertise in stabilising and turning around sugar businesses, as well as driving strategic
downstream diversification to enable sustainable long-term growth.
The Board confirms that a fit and proper assessment, as contemplated in the JSE Listings
Requirements, was undertaken in respect of the Director and that the Board is satisfied with
the outcome thereof.
The Director has provided the Company with the information to be included in the director's
declaration in accordance with the JSE Listings Requirements and the Board confirms that
there are no statements or disclosures to report in relation to the integrity information contained
in his declaration.
The Board and the BRP's welcome Mr Dalgleish to the Board and look forward to his continued
contribution to the Company.
The Board and the BRP's further note the resignation of Mr Gary Baranov as an executive
director of the Company, with effect from 15 May 2026 and will continue in his role as
Group Finance Executive. The Board and the BRP's would like to thank Mr Baranov for his
contribution.
